User Obligations and Conduct

• Refunds: Refund policies are governed by our Cancellation and Return Policy

Intellectual Property Rights

Client Work Product: Upon full payment, you will own the work product specifically created for you as detailed in your Service Agreement. However:

• We retain rights to our pre-existing intellectual property, methodologies, frameworks, and tools used in providing services
• We may use your project (with confidential information removed) in our portfolio and marketing materials unless otherwise agreed
• Third-party components, libraries, or tools may be subject to their respective licenses
• Source code and documentation will be delivered as specified in the Service Agreement
• Open Source: If we use open-source components in your project, they will be subject to their respective open-source licenses

Confidentiality

Both parties agree to maintain the confidentiality of confidential information shared during the course of business. Confidential information includes but is not limited to:

• Business plans, strategies, and financial information
• Technical specifications, source code, and proprietary methodologies
• Customer lists, marketing plans, and business relationships
• Any information marked as confidential or which by its nature should be considered confidential

Confidentiality Exceptions

Warranties and Disclaimers

We provide services 'as is' and 'as available' without warranties of any kind, either express or implied, including but not limited to:

Professional Standard Warranty

Liability Cap and Exceptions

Termination

Either party may terminate services:

• Upon insolvency, bankruptcy, or assignment for the benefit of creditors

Effects of Termination

Upon termination:

• You must pay for all services rendered up to the termination date
• You will receive work product completed up to the termination date
• Confidentiality obligations will continue to apply
• Provisions that by their nature should survive termination will remain in effect

Dispute Resolution and Governing Law

Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Jurisdiction: Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Muzaffarpur, Bihar, India.

Dispute Resolution Process:

• Good Faith Negotiation: Parties agree to first attempt to resolve disputes through good faith negotiation
• Mediation: If negotiation fails, parties may agree to mediation through a mutually acceptable mediator
• Arbitration: Disputes may be resolved through arbitration under the Arbitration and Conciliation Act, 2015 of India
• Legal Action: Either party may pursue legal action for injunctive relief or to enforce arbitration awards

Indemnification

You agree to indemnify, defend, and hold harmless Code24x7 Private Limited, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of any third-party rights, including intellectual property rights

• Any breach of your representations or warranties

Taxation and Pricing

All prices quoted for our services:

Price Modifications

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, internet failures, third-party service outages, labor strikes, or acts of God.

If a force majeure event continues for more than 30 days, either party may terminate the affected services upon written notice to the other party.

Modifications to Terms

These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, relating to the subject matter hereof. Any terms or conditions proposed by you that are in addition to or different from these Terms are hereby rejected unless expressly agreed to in writing by us.

Assignment

You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without our prior written consent. Any attempted assignment in violation of this provision shall be null and void.

We may assign these Terms, in whole or in part, to any third party without your consent, including in connection with a merger, acquisition, sale of assets, or other business transaction.

Relationship of Parties

These Terms do not create a partnership, joint venture, employment, agency, or fiduciary relationship between you and Code24x7 Private Limited. Each party is an independent contractor, and neither party has the authority to bind the other party.
